End-User License Agreement (EULA)

This End-User License Agreement ("Agreement") is between you (or the entity you represent) and ZK Digital, and governs your use of the ZK Digital software ("Software"). This is a template and should be reviewed by qualified counsel before launch.

1. Grant of license

Subject to your compliance with this Agreement and payment of applicable fees, you are granted a perpetual, non-exclusive, non-transferable license to install and use the Software on the licensed machine, up to the seat count of your edition.

2. Machine binding

Production licenses are bound to a single machine fingerprint. Moving a license to a new machine requires a support-reviewed re-issue. Trial licenses are portable and time-limited.

3. Restrictions

• No redistribution, resale, or sublicensing without written permission.
• No reverse engineering of the licensing mechanism or attempts to bypass seat limits.
• No removal of copyright, license, or attribution notices.

4. Ownership

The Software is licensed, not sold. ZK Digital retains all intellectual property rights. Third-party open-source components remain under their respective licenses (see the release's third-party notices).

5. Support and maintenance

Your purchase includes a maintenance/support window during which updates are provided. The perpetual license continues to function after the window ends; renewing the window restores update eligibility.

6. Termination

This Agreement terminates automatically if you materially breach it. Upon termination you must cease using the Software.

7. Disclaimer and liability

The Software is provided "as is". To the maximum extent permitted by law, ZK Digital disclaims all warranties and is not liable for indirect or consequential damages.
